Last Updated: September 24, 2026

Welcome to VSE Vin Specific Enterprises LLC ("VSE"). This Master Terms of Service and Conditions Agreement (the "Agreement") is a legally binding contract entered into by and between Vin Specific Enterprises LLC, a Nebraska, USA registered company ("SELLER," "VSE," "we," "us," or "our"), and the individual or entity purchasing products or utilizing automotive and diesel truck tuning services through this website ("BUYER," "Customer," "USER," or "you").
By accessing this website, purchasing any merchandise, hardware, or software, or utilizing our calibration and tuning services, you explicitly acknowledge that you have read, understood, and agree to be bound by all the terms, conditions, disclaimers, and legal restrictions detailed below. If you do not agree to these terms, you must immediately discontinue use of this website and our services.

1. Overview & Scope of Services
VSE provides advanced powertrain solutions, including but not limited to custom engine control module (ECM) and transmission control module (TCM) calibrations, custom-manufactured hardware, diesel performance parts, engine optimization, and related diagnostic solutions (the "Services"). These products and services are highly specialized technical modifications intended for custom performance applications.

2. Disclaimers of Product Fitness & Legal Compliance
2.1 Emissions and Competition-Use Notice
  • Off-Highway / Sanctioned Competition Only: Certain products and calibrations offered through this website are designed, manufactured, and intended strictly for off-highway, closed-course competition use. Once these specific components or calibrations are installed, the vehicle may only be operated in sanctioned, competitive environments.
  • Highway & Roadway Prohibitions: It is a violation of federal law to install or use these specific products on any vehicle operating on public highways, streets, or public roadways.
  • Clean Air Act (CAA) Compliance: Installing emissions-altering components or calibrations on a vehicle operating on public roadways may constitute a direct violation of the Clean Air Act (CAA) (specifically 42 USC § 7522 and its accompanying regulations). Violations of the CAA are subject to severe civil and criminal penalties, fines, and corporate sanctions enforced by the EPA.
  • Buyer Responsibility: It is the exclusive responsibility of the BUYER to ensure that all USERS of the products or calibrations purchased from VSE understand and fully comply with all local, state, and federal laws regarding vehicle emissions, sound/noise thresholds, speed limitations, and operational environments.
2.2 Vehicle Capabilities and Mechanical Safeguards
By implementing VSE products or calibrations, the BUYER acknowledges that the vehicle may achieve performance metrics that:
  • Render the vehicle non-compliant with local, state, or federal emissions regulations (including the CAA).
  • Allow the vehicle to achieve extreme speeds that may be unsafe for standard driving conditions.
  • Exceed the safe operating limits of the vehicle’s existing physical components (e.g., exceeding physical thresholds like tire speed ratings).
  • Surpass the original mechanical design limits of the engine, powertrain, driveline, chassis, transmission, and body framework, increasing the risk of mechanical failure.
2.3 Required Operator Skill
VSE performance calibrations alter engine power, torque delivery, and throttle dynamics. Applying this enhanced output safely requires advanced mechanical knowledge and superior driving capabilities. The BUYER assumes all liability for ensuring that any operator of the vehicle is fully aware of these altered performance characteristics.
2.4 Regional Limitations (California Sales Prohibition)
Due to strict regional regulatory standards (such as CARB), no products or tuning services offered on this website are available for sale, shipment, delivery, or use within the State of California. Any orders placed with a California billing or shipping address will be cancelled immediately.

3. Disclaimer of Liability & Indemnification
3.1 Limitation of Liability
To the maximum extent permitted by applicable law, VSE, along with its officers, directors, employees, agents, software developers, assigns, and successors, shall in no event be held liable for any direct, indirect, punitive, incidental, special, or consequential damages whatsoever. This includes, without limitation, injuries to persons, property damage, loss of vehicle use, loss of data, loss of business profits, or mechanical failures arising out of or connected with:
  • The use, misuse, improper installation, or misapplication of any products or services sold through this website.
  • Any reliance on technical support, advice, or documentation provided by VSE.
  • The voiding of any original vehicle manufacturer or aftermarket parts warranties.
3.2 Material Waiver and "As-Is" Sales
The BUYER explicitly acknowledges that they are not relying on VSE’s skill or judgment to select or furnish products for any generic purpose. All components, software, and services are provided "as is" without any warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. BUYER hereby waives all legal remedies, whether arising from contract, strict liability, or the alleged negligence of VSE.
3.3 Hold Harmless & Indemnification
The BUYER acknowledges that the disclaimer of personal injury and property liability is a material, non-negotiable term of this sales agreement. The BUYER agrees to defend, indemnify, and hold harmless VSE from any and all legal claims, losses, expenditures, lawsuits, civil penalties, or financial damages brought by third parties arising directly or indirectly out of the installation, possession, use, or sale of VSE products or services.

4. Customer Account Responsibilities
4.1 Accurate Information
The customer must provide completely accurate, true, current, and verifiable information when completing an order, including full legal name, shipping/billing details, vehicle specifications, and exact Vehicle Identification Numbers (VIN) where required. Providing fraudulent details or deliberately misrepresenting vehicle specifications will result in service termination without a refund.
4.2 Account Security
If you create an account on the VSE storefront, you are solely responsible for maintaining the confidentiality of your login credentials and for restricting access to your computer or devices. You agree to accept responsibility for all financial transactions and actions that occur under your user profile.

5. Clear Non-Refundable & Custom Ordering Policy
Because of the highly individualized, digital, and custom nature of high-performance calibration and precision manufacturing, VSE maintains a strict non-refundable and final-sale policy on specialized inventory items.
The following items are NOT accepted for return, exchange, modification, or cancellation once processing has begun:
  • VIN-Specific Electronics: Any electronic hardware, monitoring devices, or modules programmed or locked to a customer's specific Vehicle Identification Number (VIN) (including but not limited to ECMs, TCMs, Handheld Tuners, and digital custom tuning profiles).
  • Custom-Manufactured Hardware: Any custom-built mechanical components manufactured to specific customer dimensions or performance requests (such as custom turbochargers, built-to-spec performance components, and machined engine items).
  • Contaminated Fuel System Parts: Any fuel system components, injectors, rails, or pumps that have had diesel fuel or alternative chemical additives introduced into them, due to cross-contamination, safety, and testing hazards.
